RBE: Stricter Controls to Anticipate in Luxembourg
Since 2019, the Register of Beneficial Owners (“RBE”) has become a key pillar of corporate transparency in Luxembourg.
The entities concerned must identify their beneficial owners and ensure that the information filed is accurate and reliable.
Against this background, the Luxembourg and Diekirch Public Prosecutor’s Offices have announced an increase in RBE-related controls, with greater involvement of the Grand Ducal Police expected in the coming weeks.
What does this mean in practice?
- More frequent and targeted checks
- Increased scrutiny of whether registered offices are genuine and effective
- Particular attention to the accuracy of information recorded in the RBE
What happens in the event of non-compliance?
- Fines of up to EUR 1,250,000
- Risk of judicial dissolution or liquidation
- Potential criminal liability for those responsible
What should entities pay particular attention to?
- Checking the information registered with the RBE
- Keeping supporting documentation up to date
- Ensuring that the registered office is genuine and accessible
In this context, RBE compliance can no longer be regarded as a mere administrative formality, but must be treated as a genuine risk management issue.
We assist our clients in assessing their situation and ensuring compliance with RBE requirements, in order to secure their position and anticipate potential risks.
